Master Services Agreement | ASSIST

    MASTER SERVICE AGREEMENT

This Master Service Agreement (the "Agreement") is entered into between ASSIST by AiSo, LLC, an Illinois limited liability company doing business as "ASSIST" ("Provider"), and the subscribing appraiser, appraisal team, or appraisal firm ("Client").

    1. RELATIONSHIP OF PARTIES

Provider is an independent contractor and not an employee of the Client. Provider is acting strictly as an administrative support service and does not function as an Appraisal Management Company (AMC). Client retains full discretion and judgment regarding all appraisal analyses and opinions.

    2. FEES, BILLING, AND PAYMENT TERMS

2.1. Subscription Fees: Services are billed on a month-to-month subscription basis. Invoices are generated and charged on the 1st day of each month for that month's service. Client may switch Tiers at any time via the software portal. Upgrades are effective immediately (pro-rated difference charged instantly); downgrades take effect on the 1st of the following month. If Client joins after the 1st, the initial subscription fee will be prorated based on the remaining days in that month.

2.2. Overage Fees: The Client's selected Tier includes a specific volume of orders per month. Any orders processed beyond this limit will be billed at a rate of $5.00 per order. Overage fees will be calculated at the end of the billing cycle and added to the next month's invoice.

2.3. Late Payments & Service Suspension: Payment is due on the 1st. A grace period is provided until the 10th of the month. If payment is not received by 11:59 PM on the 10th, the Client's account and all services (including order monitoring) will be SUSPENDED effective the 11th day of the month. To restore service, Client must pay the outstanding balance in full plus a flat $50.00 Reactivation Fee. Service will resume immediately upon successful payment.

    3. TERM AND TERMINATION

3.1. Term: This Agreement shall commence on the Effective Date and continue on a month-to-month basis automatically.

3.2. Cancellation Policy: Client may cancel their subscription at any time via the software portal or written notice. Cancellation will prevent the subscription from renewing for the next month. Service will continue until the end of the current paid billing cycle. No refunds or credits will be issued for partial months or unused services.

3.3. Termination for Cause: Provider reserves the right to terminate this Agreement immediately if Client violates the terms of this Agreement, fails to pay fees, or if Provider determines, in its sole discretion, that continuing the relationship poses a legal, regulatory, or reputational risk.

    4. PORTAL ACCESS AND THIRD-PARTY AUTHORIZATION

4.1. Authorization to Access Accounts: Client hereby explicitly authorizes Provider (and its assigned staff/agents) to access Client's third-party vendor portals for the sole purpose of performing the administrative duties outlined in the Scope of Services.

4.2. Credentials Management: Client agrees to provide necessary login credentials securely and acknowledges they are solely responsible for managing passwords.

4.3. Third-Party Terms of Service: Client assumes full responsibility for ensuring that granting access to Provider does not violate the terms of their agreements with third parties. Provider shall not be liable for any account suspensions or penalties imposed by third-party portals resulting from Provider's authorized access.

    5. LIMITATION OF LIABILITY & INDEMNIFICATION

5.1. Service Scope Limitation: Provider is an administrative support service only. Provider does not perform appraisals, determine values, or provide professional opinions. Provider shall not be liable for any errors in judgment, value conclusions, or professional negligence related to the appraisal reports.

5.2. Indemnification: Client agrees to indemnify, defend, and hold harmless ASSIST from any claims, damages, or legal actions arising from Client's appraisal reports, failure to maintain active state licensure, or violations of third-party portal terms of service.

    6. SMS NOTIFICATIONS

Users may choose to receive transactional SMS notifications related to their ASSIST account, appraisal orders, scheduling, daily summaries, and system alerts. SMS is optional and users may opt out at any time by replying STOP to any message. Message frequency varies and message and data rates may apply. ASSIST does not use SMS for marketing, and SMS opt-in data and consent are not sold, rented, or shared with third parties for marketing or promotional purposes. See our SMS Terms & Messaging Policy for full details.
